What Is a Florida Registered Agent?
The legal requirement every Florida LLC and corporation must meet.
Every Florida LLC and corporation is required by state law to designate a registered agent. This is not optional. Florida Statute 605.0113 (for LLCs) and Florida Statute 607.0501 (for corporations) mandate that every business entity maintain a registered agent with a physical street address in Florida where legal documents can be delivered during normal business hours.
A registered agent serves as the official point of contact between your business and the state. When someone files a lawsuit against your company, the complaint and summons are delivered to your registered agent. When the Florida Division of Corporations sends annual report notices, they go to your registered agent. When any government agency needs to communicate with your business entity, the registered agent receives that communication.
If your LLC or corporation fails to maintain a registered agent, the consequences are serious. The Florida Division of Corporations can administratively dissolve your LLC or revoke your corporation's authority to do business in the state. Reinstatement requires additional filings and fees, and during the period of dissolution, your liability protection may be compromised.
Why You Should Not Be Your Own Registered Agent
Florida law allows you to serve as your own registered agent if you are a Florida resident. Many business owners do this when they first form their LLC, listing their home address on the Articles of Organization. This creates three problems:
Your home address becomes public record. The Florida Division of Corporations maintains a searchable online database. Anyone can look up your LLC and see your registered agent address. If that address is your home, your personal residence is exposed to the public, including process servers, solicitors, and anyone else who searches for your business.
You must be available during all business hours. A registered agent must be present at the registered address during normal business hours to accept service of process. If you travel, work remotely, or simply step out for lunch when a process server arrives, service may be attempted through alternative means, potentially without your knowledge until it is too late to respond.
You cannot use a P.O. Box. The registered agent address must be a physical street address where documents can be personally delivered. P.O. Boxes, UPS Store addresses, and virtual mailboxes that are clearly identified as such are not accepted by the Division of Corporations for registered agent purposes.
Why Choose a Physical Location Over an Online-Only Provider
Online registered agent services have become popular in recent years. Companies like Northwest Registered Agent, LegalZoom, and Incfile offer registered agent services for $49 to $299 per year. These services work, but they have limitations that physical locations do not.
Service of process requires physical acceptance. When a process server delivers a lawsuit, someone must physically accept the document. Online-only providers use remote offices or contracted acceptance agents who may not be at the address full-time. A physical office like Wilton Plaza has staff on site during all business hours to accept service immediately.
State filings show the address. The address listed on your Articles of Organization and annual report is visible to clients, vendors, banks, and licensing boards. A commercial office building address at 1881 NE 26th St, Wilton Manors, FL 33305 carries more credibility than a virtual address associated with a nationwide registered agent factory.
You can walk in. Need to pick up a document, get something notarized, or discuss your account? At a physical location, you drive over and handle it. With an online-only provider, everything goes through email or phone trees.
What You Get for $99 per Year at Wilton Plaza
Our registered agent service covers everything the state requires, plus features that online-only providers do not offer:
Same-day document scanning. When a legal document, service of process, or state correspondence arrives, we scan it and email it to you the same business day. You are notified within hours, not days.
Secure document storage. Original documents are stored securely at our office. Pick them up in person or request forwarding to any address.
Physical commercial address. Your registered agent address is 1881 NE 26th St, Wilton Manors, FL 33305 — a real commercial building, not a virtual address.
FREC compliance. The address meets all Florida Real Estate Commission requirements for broker and agent licensing.
3 non-legal mail scans per year. In addition to legal documents, we scan and email up to 3 pieces of regular business mail annually.
Notary available on site. Need a document notarized? Our licensed notary, Tricia Frost, is on staff every business day. Available to registered agent clients at $10/signature.
Permanent address. Wilton Plaza has been here since 1973. Privately owned and managed. Your registered agent address will not change because of a lease expiration or building sale.
How to Change Your Registered Agent to Wilton Plaza
Changing your registered agent in Florida is straightforward. You file a Statement of Change of Registered Agent with the Florida Division of Corporations. The filing fee is $25, and the form can be submitted online at sunbiz.org. The change takes effect immediately upon filing.
Here is the process:
- Apply for Registered Agent service with Wilton Plaza. Once your application is approved, we become your new registered agent.
- We provide you with the registered agent name and address details for the filing.
- File the Statement of Change online at sunbiz.org or let us guide you through it.
- The state updates your records immediately. Done.
The entire process takes less than 15 minutes and can be done from your computer.
Registered Agent vs. Business Address vs. Virtual Office
A registered agent is a legal requirement for your LLC. A business address gives you a suite number for mail receiving and a professional address on your business cards. A virtual office adds complimentary mail scan requests, free notary, and conference room access.
Many clients start with just the registered agent at $99/year and upgrade to a business address ($39/month) or virtual office ($49/month) as their needs grow. All plans use the same address at 1881 NE 26th St, so upgrading never requires updating your state filings.

How the Application Works
Registered Agent service is a premium add-on, reviewed individually. We personally approve every client.
Registered Agent service is not available for direct online purchase. Submit an application and our team reviews your eligibility. Requirements:
- Active Virtual Office or Business Address subscription
- Florida entity (LLC, Corp, or LP registered with the Division of Corporations)
- Clean screening (OFAC, identity verification)
- A separately-executed Registered Agent Agreement upon approval
Submitting an application does not create any registered agent relationship or duty on our part. No Registered Agent relationship exists between Wilton Plaza LLC and any applicant unless and until a separate, written Registered Agent Agreement is fully executed.
Important: You may not designate Wilton Plaza LLC as your Florida registered agent, list Wilton Plaza LLC as your registered agent on Sunbiz or any filing, or direct service of process to our address without a separate, fully-executed Registered Agent Agreement. Unauthorized designation is a material breach of our Terms of Service and grounds for immediate termination.
