What Is a Florida Registered Agent?

The legal requirement every Florida LLC and corporation must meet.

Every Florida LLC and corporation is required by state law to designate a registered agent. This is not optional. Florida Statute 605.0113 (for LLCs) and Florida Statute 607.0501 (for corporations) mandate that every business entity maintain a registered agent with a physical street address in Florida where legal documents can be delivered during normal business hours.

A registered agent serves as the official point of contact between your business and the state. When someone files a lawsuit against your company, the complaint and summons are delivered to your registered agent. When the Florida Division of Corporations sends annual report notices, they go to your registered agent. The Florida Division of Corporations can administratively dissolve your LLC or revoke your corporation's authority to do business in the state. Why You Should Not Be Your Own Registered Agent

Florida law allows you to serve as your own registered agent if you are a Florida resident. Many business owners do this when they first form their LLC, listing their home address on the Articles of Organization. This creates three problems:

Your home address becomes public record. The Florida Division of Corporations maintains a searchable online database. Anyone can look up your LLC and see your registered agent address. If that address is your home, your personal residence is exposed to the public, including process servers, solicitors, and anyone else who searches for your business.

You must be available during all business hours. A registered agent must be present at the registered address during normal business hours to accept service of process. If you travel, work remotely, or simply step out for lunch when a process server arrives, service may be attempted through alternative means, potentially without your knowledge until it is too late to respond.

You cannot use a P.O. Box. The registered agent address must be a physical street address where documents can be personally delivered. P.O. Boxes, UPS Store addresses, and virtual mailboxes that are clearly identified as such are not accepted by the Division of Corporations for registered agent purposes.
